1. Professional Consultancy Services

Alora Health Premier provides strategic governance, Decision Authority Architecture, and the implementation of the Decision Authority Matrix (DAM).

• Remote Delivery: Services are delivered remotely from the UK.

• No Clinical Practice: Our services are strictly administrative and architectural. We do not provide direct medical treatment, clinical diagnosis, or patient care.
   

2. Intellectual Property & The Safety Shield™

The methodology known as The Safety Shield™, including all associated frameworks, diagrams, checklists, and proprietary architectures, is the exclusive intellectual property of Alora Health Premier.

• Limited License: Clients are granted a non-transferable, non-exclusive license to use the methodology within their organization for the duration of the contract.

• Restrictions: You may not reproduce, redistribute, or sell any part of The Safety Shield™ or our governance frameworks to third parties without prior written consent.
   

3. Limitation of Liability

While we strive for the highest standards of Clinical Integrity and Risk Reduction, the final clinical and operational decisions remain the sole responsibility of the client (the Healthcare Provider).

• Alora Health Premier shall not be liable for any direct or indirect clinical outcomes, medical errors, or operational failures within the client’s facility.

• Our liability is limited to the professional fees paid for the specific consultancy engagement.
   

4. Client Responsibilities (Data Anonymization)

To comply with UK GDPR and local GCC Data Protection laws, the client is responsible for ensuring that all documents shared for review are fully anonymized. No Identifiable Private Information (IPI) of patients or staff should be transferred to Alora Health Premier’s local infrastructure.

5. Governing Law & Jurisdiction

​

These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of England and Wales. Any legal proceedings shall be subject to the exclusive jurisdiction of the courts in London, UK.
